By installing, accessing, or using the Shoply app (the "App") on the Shopify platform, you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree with these Terms, you may not use the App.
These Terms form a legally binding agreement between you ("you" or "User") and Shoply, Inc. ("we," "us," or "our").
The App is designed to allow Merchants to generate additional revenue through Shoply's affiliate network. Shoply, Inc. provides access to the App via the Shopify App Store, subject to these Terms.
This App is built for use with Shopify and is subject to Shopify's terms of service. Shoply, Inc. is not affiliated with Shopify Inc., and Shopify is not responsible for the App or its content.
Use of the App may be subject to subscription fees or usage-based charges as outlined in the Shopify App Store listing. Fees are billed through your Shopify account and are subject to Shopify's billing terms.
We reserve the right to modify or discontinue the App (or any part of it) at any time with or without notice. We may also update these Terms from time to time. Continued use of the App after any changes constitutes your acceptance of the new Terms.
All intellectual property rights in and to the App and its content (excluding User Data) are owned by Shoply, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App solely in connection with your Shopify store.
Your use of the App is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.
To the maximum extent permitted by law, Shoply, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the App.
Our total liability for any claim arising from your use of the App shall not exceed the amount paid by you for the App in the 3 months preceding the event giving rise to the claim.
We may terminate or suspend your access to the App at any time, with or without cause or notice. Upon termination, your right to use the App will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Collin County, Texas.
